Introduction & Scope

These Terms of Service (the "Terms") govern your access to and use of the GuestWire Technologies corporate website, customer authentication areas, and the GuestWire product family (collectively, the "Services") operated by GuestWire Technologies LLC, a North Carolina limited liability company ("GuestWire," "we," "us," "our").

By creating an account, accessing the Services, or otherwise using them, you agree to these Terms and our other applicable policies, including our Privacy Policy, Cookie Policy, Acceptable Use Policy, and Accessibility Statement. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

Where a GuestWire product is provided under its own customer agreement, that agreement, together with any product-specific terms, supplements and, to the extent of any conflict, controls over these Terms for that product.

Eligibility and Account Authority

The Services are intended for businesses and authorized representatives who are at least 18 years of age and able to form a legally binding contract. By using the Services, you represent that you meet these requirements and that your use complies with all applicable laws.

Business and Authorized User Accounts

Accounts are generally created and managed by a business or organization that subscribes to a GuestWire product. Organization administrators control who is invited to their account, what roles users hold, and what data users can access. New users are added through an email invitation process.

Administrators are responsible for managing authorized users within their account, removing access when appropriate, and ensuring users comply with these Terms and the organization's policies. You agree to keep account credentials and access secure and not to share them in a way that would allow unauthorized users to access the Services.

Acceptable Use

You agree to use the Services only for lawful, legitimate business purposes and in a manner that does not infringe the rights of others. Your use is also subject to our Acceptable Use Policy, which describes prohibited conduct and our enforcement rights.

Customer Responsibilities

You are responsible for:

• the accuracy of information you submit to the Services;
• maintaining the confidentiality of credentials and access granted to your organization's users;
• obtaining any consents and providing any notices required to process personal information that you submit through the Services, including guest, employee, and contact data;
• ensuring that your use of integrations and connected third-party services complies with those providers' terms and applicable law; and
• all activity that occurs under your account or accounts you administer.

User-Submitted Content and Data Ownership

As between you and GuestWire, you retain ownership of the content, data, and materials you submit to the Services ("Customer Data"). GuestWire does not claim ownership of your Customer Data. You grant GuestWire a limited, non-exclusive, revocable license to access, process, host, transmit, and display Customer Data solely as necessary to provide and improve the Services for you and your organization.

You represent and warrant that you have the rights to submit Customer Data and that doing so does not violate applicable law or third-party rights, including intellectual property and privacy rights.

GuestWire's Right to Process Customer Data

GuestWire processes Customer Data on behalf of subscribing customers as a service provider acting under customer instructions and the applicable customer agreement. GuestWire will use and disclose Customer Data only as necessary to provide the Services, to protect the security of the Services, to comply with legal obligations, or as otherwise described in our Privacy Policy.

We do not use Customer Data to train machine learning models or artificial intelligence services for the benefit of unrelated third parties. AI features, where available, are described further in the Artificial Intelligence Features section of our Privacy Policy.

Third-Party Services and Integrations

The Services may support connections to third-party services and integrations, such as property management systems, channel managers, smart access providers, calendar platforms, payment processors, and messaging providers. Third-party services are operated by independent parties under their own terms and privacy practices. GuestWire is not responsible for the practices of such third parties, and your use of any third-party service is solely between you and that provider.

Customer administrators are responsible for evaluating which integrations to enable and for the data exchanged with each third party.

AI-Generated Output Limitations

AI-assisted features generate content, summaries, imagery, audio, or structure based on inputs and may be incomplete, inaccurate, or otherwise unsuitable. AI-generated output is provided for assistance only and should not be relied upon as legal, financial, medical, or professional advice. You are responsible for reviewing and validating AI-generated output before relying on, publishing, or sharing it.

GuestWire disclaims liability for AI-generated output to the maximum extent permitted by law.

Demo and Sample Data Disclaimers

Demonstrations, sample dashboards, marketing screenshots, and other illustrative content may include fictitious data shown for presentation purposes only. Such content may not reflect actual performance, real property information, or live reservations. No representation is made that any results, statistics, or scenarios shown in demo materials will be achieved in any specific deployment.

Intellectual Property

GuestWire, the GuestWire product names and logos (including CORE™, GuestWire Vacation, GuestWire Realty, and NeighborWire), and related marks are trademarks or trade names of GuestWire Technologies LLC. All other marks are the property of their respective owners. Nothing in these Terms grants you any right to use GuestWire trademarks except as expressly permitted in writing.

The Services, including software, documentation, designs, and underlying technology, are owned by GuestWire or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, sell, lease, or create derivative works from the Services except as expressly permitted by these Terms or applicable law.

Subscription, Billing, Cancellation, and Refunds

Where the Services are sold under a separate customer agreement, subscription fees, billing cycles, cancellation, and refund terms are governed by that agreement and any order documents executed between the parties.

Self-service paid subscriptions and consumer payment flows are not offered through the corporate website at the time of these Terms. If and when online billing is introduced, the applicable billing terms, renewal rules, and refund policy will be published and incorporated by reference into these Terms.

Service Availability and Product Changes

We strive to keep the Services available but do not guarantee uninterrupted access. The Services may be subject to scheduled or unscheduled downtime, maintenance, network issues, or events outside our control. We may modify, suspend, or discontinue features, products, or the Services themselves at any time, and may release updates or changes that affect functionality. Where appropriate, we will provide reasonable notice of material changes.

Suspension and Termination

We may suspend or terminate access to the Services, in whole or in part, if you breach these Terms, if your activity creates risk to the Services or others, or as required to comply with legal obligations. We may also remove content that violates our policies.

You may stop using the Services at any time, and customer organizations may terminate their subscription in accordance with the applicable customer agreement. Upon termination, your right to use the Services ends, and you remain responsible for amounts owed, if any, and for complying with applicable data export or deletion obligations.

Warranty Disclaimers

EXCEPT AS EXPRESSLY SET FORTH IN A SIGNED CUSTOMER AGREEMENT, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, GUESTWIRE AND ITS LICENSORS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

GuestWire does not warrant that the Services will be error-free, uninterrupted, secure, or that any defects will be corrected, or that AI-generated output will be accurate or fit for any particular purpose.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL GUESTWIRE, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF REVENUE, PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR OTHERWISE.

IN NO EVENT WILL GUESTWIRE'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE AMOUNTS PAID OR PAYABLE BY YOU TO GUESTWIRE FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR, IF NO FEES ARE PAYABLE, USD $100.

Indemnification

To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless GuestWire and its affiliates, and their officers, directors, employees, and agents, from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to your Customer Data, your use of the Services, your violation of these Terms or our policies, or your infringement of any third-party rights.

Governing Law and Dispute Provisions

These Terms are governed by the laws of the State of North Carolina, USA, without regard to its conflict of laws principles. The courts located in North Carolina will have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Services, except where prohibited by law.

The United Nations Convention on Contracts for the International Sale of Goods does not apply. Nothing in these Terms prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property or confidential information.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, provide additional notice. Continued use of the Services after a change takes effect constitutes acceptance of the updated Terms.
